- Spanish law governs this agreement; disputes are resolved in Barcelona courts.

Section 01
1. Acceptance of Terms
By accessing and using the ConsulPoint platform, operated by Akui Solutions S.L. ("Akui", "we"), you agree to be bound by these Terms of Use, the applicable Privacy Policy, and all relevant laws and regulations, including the GDPR and LOPDGDD. If you do not agree with any of these terms, you are not authorized to use this service. Continued use of the platform following any update to these terms constitutes your express acceptance of the same.

2. Service Description
ConsulPoint is a B2B SaaS solution for organizational intelligence that integrates process automation, document management, AI assistants, autonomous agents, and collaborative workspaces. The service is provided under the current commercial plans and conditions. Akui reserves the right to modify, expand, or discontinue features with reasonable prior notice to client organizations. Access to the service requires the creation of a corporate account and acceptance of a service agreement or Data Processing Agreement where applicable.

3. Acceptable Use
You agree to use ConsulPoint exclusively for lawful, legitimate purposes in compliance with these terms. The following are expressly prohibited: (a) using the service for illegal, fraudulent activities, or activities that violate third-party rights; (b) attempting unauthorized access to systems, data, or third-party accounts; (c) introducing viruses, malware, or harmful code; (d) reverse engineering, decompiling, or extracting the platform's source code; (e) reselling, sublicensing, or redistributing access to the service without prior written authorization from Akui; (f) deliberately overloading the infrastructure or carrying out denial-of-service attacks.

4. Intellectual Property
All content, source code, design, logos, trademarks, algorithms, data models, and documentation included in ConsulPoint are the property of Akui Solutions S.L. or its licensors and are protected by applicable intellectual and industrial property laws. These Terms do not grant any license over Akui's intellectual property beyond operational access to the contracted service. Data, documents, prompts, and content uploaded by the client organization remain under the ownership of that organization at all times.

5. Limitation of Liability
Akui Solutions S.L. shall not be liable for direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the service, except in cases of willful misconduct or gross negligence directly attributable to Akui. Responses generated by integrated AI models may contain inaccuracies; it is the client organization's responsibility to validate outputs before applying them to high-impact operational decisions. Akui's total cumulative liability shall in no case exceed the amount paid by the client in the twelve months prior to the event giving rise to the claim.

6. Governing Law and Modifications
These Terms are governed by Spanish law and, where applicable, by European Union regulations. Any disputes shall be subject to the competent courts of Spain. Akui reserves the right to modify these Terms at any time to reflect technological, legal, or operational changes. Material modifications will be notified with reasonable advance notice.
